1. About Vacay

Vacay is a web-based leave management platform ("the Service") that allows businesses ("Company Accounts") to manage employee leave requests, approvals, and scheduling. The Service is operated and provided by Vacay ("we", "us", "our").

2. Accounts and Registration

To use Vacay, you must register for an account. You agree to:

• Provide accurate and complete information during registration
• Keep your password secure and not share it with others
• Notify us immediately of any unauthorised use of your account
• Be responsible for all activity that occurs under your account

Company accounts are created by an administrator ("Admin") who is responsible for managing their team's use of the platform, including approving employee sign-ups and configuring leave policies.

3. Acceptable Use

You agree not to use Vacay to:

• Violate any applicable laws or regulations
• Submit false or fraudulent leave requests
• Access or attempt to access accounts belonging to other users or companies
• Interfere with or disrupt the platform or its servers
• Use the platform for any unlawful or harmful purpose
• Attempt to reverse-engineer, copy, or reproduce the platform

4. Platform Administrator Rights

As the operator of Vacay, we reserve the right to:

• Suspend or terminate any company account that violates these Terms of Service
• Access company-level configuration data (company name, code, employee count) for service operation and support purposes
• Access individual account data in specific circumstances required for support, abuse prevention, or legal compliance
• Modify, update, or discontinue the Service at any time with reasonable notice

We will not access or read individual employee leave records except where strictly necessary for technical support or legal compliance.

5. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using Vacay, you consent to the collection and processing of data as described in the Privacy Policy.

Company Admins are responsible for ensuring that their use of Vacay — including the personal data of their employees — complies with applicable data protection laws in their jurisdiction, including GDPR where applicable.

6. Intellectual Property

The Vacay platform, including its design, code, and content, is owned by us and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. You may not copy, modify, distribute, or create derivative works of the platform.

7. Service Availability

We aim to keep Vacay available at all times but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability. We are not liable for any losses resulting from planned or unplanned downtime.

8. Limitation of Liability

To the fullest extent permitted by law, Vacay shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including loss of data, loss of profits, or business interruption. Our total liability for any claim arising from your use of the Service shall not exceed the amount paid by you (if any) in the 12 months preceding the claim.

9. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, secure, or meet your specific requirements. You use the Service at your own risk.

10. Termination

You may stop using Vacay at any time. We may suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will retain your data for up to 30 days after termination before deletion, unless legally required to retain it longer.

11. Changes to These Terms

We may update these Terms from time to time. We will notify users of significant changes by posting the updated Terms on this page with a revised date. Continued use of the platform after changes constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from your use of the Service shall be subject to the exclusive jurisdiction of the relevant courts.
